This panel will examine the difference between “paper governance” and “operational governance” in the captive insurance context. It will explore how governance failures often become visible only after the event, particularly where board minutes do not evidence challenge, issues are escalated too slowly, directors rely passively on group reporting, liquidity monitoring is weak, or conflicts between the parent and the captive are not properly addressed. The panelists will consider how captive boards can move beyond formal compliance and demonstrate active, proportionate and defensible oversight in practice.
